1. Site-Radio.com reserves the right to change these terms and conditions without notice by posting the changes to our Web site.

1.1 Site-Radio users may paste HTML code from this site into their web pages to load our player on your website from ours. The source or production code, Flash files and MP3 player or any other materials remain the property of Site-Radio.com and is in no way owned by anyone but Site-Radio.com. Site-Radio makes no assurances nor guarantees as to the operation of their player on your website and by it's use you indemnify the owners of Site-Radio.com and any associates of any legal responsibility of its operation or your website's operation in conjunction with the Site-Radio player. The Site-Radio player is released on a use as-is basis and no guarantees as to its operation or your site's operation are given or implied. Site-Radio.com, its owners and associates, are not responsible for any malfunctions, problems, issues, delays, downtime or bandwidth problems of any sort or kind that may or may not be encountered due to using the Site-Radio HTML code or Site-Radio Flash Player.

1.2 Site-Radio is in no way legally or morally responsible for the types of uses or types of websites or types of sound files that Site-Radio users choose to play on their website. Further, Site-Radio.com is not responsible for Site-Radio users playing copyrighted or otherwise illegal materials on their websites, no more than stereo manufacturers are responsible for people playing illegal music on their stereo. Site-Radio code and flash files are merely a player which may play mp3 files. All files played by Site-Radio users are assumed to be their own copyrighted materials, used for completely legal purposes. Failure to abide by this rule is grounds for termination of use of Site-Radio HTML code.

1.3 Site-Radio users agree to immediately and without hesitation of malice remove Site-Radio HTML or Flash files or any other materials from their website immediately upon request.

2. Site-Radio users are free to stop using Site-Radio at anytime by removing the HTML code from their web pages. The procedure for adding, removing or tailoring Site-Radio's operation on your website is not the responsibility of Site-Radio.com.

3. The following types of sites are NOT allowed to participate in Site-Radio.com: sites encouraging illegal activity or racism, sites providing instructions or discussions about performing illegal activities, sites that promote or utilize software or services designed to deliver unsolicited email, or any other sites we deem to be inappropriate.

4. You agree not to change the Site-Radio.com HTML code that you will insert on your site or try to open or in anyway read or modify the Site-Radio Flash player.

5. You have read our copyright notice and terms and conditions and you agree to them.

6. Users acknowledge and agree that their Web site information (site name, URL, traffic counts, etc.) may be utilized by Site-Radio.com. Possible uses include (but are not limited to) a directory of the sites using our service, general promotional uses, etc.

7. You agree to use our services at your own risk. Our services are provided on an "as is" and "as available" basis. You agree that you have made your own determination regarding the usefulness of the service. We disclaim all warranties including, but not limited to, warranties of merchantability and fitness for a particular purpose.

8. We are not liable for damages, direct or consequential, resulting from your use of the service, any failure to provide service, suspension of service, or termination of service. We do not guarantee the availability of the service. You agree not to hold us responsible for data loss or interruption of service of any kind.

9. We retain ownership and all rights to Site-Radio.com logos, trademarks, software, trade secrets, databases, reports, and Web site.

10. If this agreement is terminated by us or by you for any reason, you agree to remove our code, logos and trademarks from all of your Web sites and other items.

11. YOU AGREE TO DEFEND, INDEMNIFY AND HOLD US HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, LIABILITY COSTS AND EXPENSES (INCLUDING BUT NOT LIMITED TO ATTORNEY'S FEES) ARISING FROM YOUR VIOLATION OF THIS AGREEMENT OR ANY THIRD-PARTY'S RIGHTS, INCLUDING BUT NOT LIMITED TO INFRINGEMENT OF ANY COPYRIGHT, VIOLATION OF ANY PROPRIETARY RIGHT AND INVASION OF ANY PRIVACY RIGHTS. THIS OBLIGATION SHALL SURVIVE ANY TERMINATION OF THIS AGREEMENT. OUR LIABILITY WILL NOT EXCEED THE PURCHASE PRICE OF THE SERVICES.

12. We both own the data regarding visitors to your Web site that we collect. You can use the data we provide for any legal purposes. We will use the data in compliance with our privacy policy.

13. This Agreement will be construed and enforced in accordance with the laws of British Columbia, Canada without regard to its conflict of law principles. Venue for any dispute under this Agreement will be British Columbia, Canada.

Site-Radio - Copyright Notice

You may print and download portions of material from the Site-Radio.com website. We retain ownership and all rights to Site-Radio.com logos, trademarks, software, trade secrets, databases, reports, and Web site.

• If this agreement is terminated by us or by you for any reason, you agree to remove our code, logos and trademarks from all of your Web sites and other items.

• YOU AGREE TO DEFEND, INDEMNIFY AND HOLD US HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, LIABILITY COSTS AND EXPENSES (INCLUDING BUT NOT LIMITED TO ATTORNEY'S FEES) ARISING FROM YOUR VIOLATION OF THIS AGREEMENT OR ANY THIRD-PARTY'S RIGHTS, INCLUDING BUT NOT LIMITED TO INFRINGEMENT OF ANY COPYRIGHT, VIOLATION OF ANY PROPRIETARY RIGHT AND INVASION OF ANY PRIVACY RIGHTS. THIS OB in any media now known or hereafter developed. You also grant to Site-Radio.com the right to use your name in connection with the submitted materials and other information as well as in connection with all advertising, marketing and promotional material related thereto. You agree that you shall have no recourse against Site-Radio.com for any alleged or actual infringement or misappropriation of any proprietary right in your communications to Site-Radio.com.

Web Site Terms of Use

Site-Radio.com will not collect any personal information from you that you do not volunteer, and we are the sole owner of all information collected on this site. We do not sell, share, or rent this information to others in any way.

Third parties

Site-Radio.com may provide third parties with aggregate statistics about our customers, traffic patterns, and related site information. This data reflects site usage patterns gathered during thousands of customer visits to our Web site each month but does not contain behavioral or identifying information about any individual member, unless that member has given us permission to share that information. We may also provide log files and other databases of user information to third parties for analysis, so we can get a better understanding of traffic through our site and thus improve our content offerings.

Obtaining your consent

By using our Web site, you give Site-Radio.com permission to collect information about the pages served to you as an anonymous user for the purpose of calculating aggregate site statistics. If you register at any of our web properties., you authorize Site-Radio.com to use information you provide to personalize the information we deliver to you and to use your demographic information when calculating aggregate customer data.
